ARTICLES OF INCORPORATION

Articles of Incorporation of the undersigned, a majority of whom are citizens of the United States, desiring to form a Non-Profit Corporation under the Non-Profit Corporation Law of New Mexico, do hereby certify:

Article One: The name of the Corporation shall be Gallup Arts Habitat (GAH). The place in this state where the principal office of the Corporation is to be located is the City of Gallup, County of McKinley, state of New Mexico.

Article Two: The period of existence of the corporation is "perpetual", meaning the corporation will exist until the corporation chooses to dissolve.

Article Three: The Gallup Arts Habitat (GAH) is a nonprofit coalition of arts and humanities stakeholders (artists, performers, academics, students, institutions, organizations, etc.) dedicated to enriching the cultural life of northwestern New Mexico by providing for quality programs that nurture and inspire a love and understanding of the arts, humanities, and languages. Said corporation is organized exclusively for charitable and educational purposes, including, for such purposes, the making of grants to organizations that qualify as exempt organizations under section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code.
